Item 2.01 Completion of Acquisition or Disposition of Assets.
On October 24, 2007, we completed the sale of our mobility products business to Infineon
Technologies AG for $450 million in cash, plus a performance-based payment of up to $50 million
payable in the first quarter of 2009. The mobility products business designs semiconductors and
software for cellular telephone handsets and complete chip-level solutions for satellite digital
audio radio applications. We will be providing services to Infineon during a transition period and
will be leasing space in our Allentown, PA facility to Infineon.
