Item 8.01 Other Events
On March 29, 2006, Newfield Exploration Company (the “Company”) agreed to offer, issue and sell $550 million of its 6 5/8% Senior Subordinated Notes due 2016 (the “Notes”) pursuant to, and subject to the terms and conditions set forth in, an underwriting agreement and a pricing agreement with the underwriters of the offering. The Notes are to be issued under a Subordinated Indenture dated as of December 10, 2001 between the Company and Wachovia Bank, National Association (formerly known as First Union National Bank), as Trustee (the “Indenture”), as supplemented by the Third Supplemental Indenture to be dated as of April 3, 2006. Closing of the issuance and sale of the Notes is scheduled for April 3, 2006.
