Item 8.01 Other Events.
The Greenbrier Companies, Inc. (the “Company”) filed the required 303A.12(a) New York Stock Exchange Certification of its Chief Executive Officer with the New York Stock Exchange with no qualifications following the 2004 Annual Meeting of Shareholders (the “Certification”) and the Company filed as an Exhibit to its Annual Report on Form 10-K for the year ended August 31, 2004, as filed with the Securities and Exchange Commission, a Certification of the Chief Executive Officer and a Certification of the Chief Financial Officer pursuant to 18 U.S.C. Section 1350, as adopted pursuant to Section 302 of the Sarbanes-Oxley Act of 2002 (the “302 Certifications”).
This information is required by New York Stock Exchange rules to be disclosed in the Company’s Annual Report to Shareholders. The Company inadvertently neglected to include disclosure regarding the filing of the Certification and the 302 Certifications in its most recent Annual Report to Shareholders.
