EXPLANATORY NOTE

     On August 11, 2010, CorVel Corporation (the “Company”) filed a Current Report on Form 8-K (the “Initial Form 8-K”) to report certain amendments made to the CorVel Corporation 1991 Employee Stock Purchase Plan (the “Plan”), but inadvertently filed an incorrect version of the Plan as Exhibit No. 10.1 to the Initial Form 8-K. Accordingly, this Current Report on Form 8-K/A is being filed solely to amend and supplement the Initial Form 8-K to include the correct version of the Plan as Exhibit No. 10.1. Except as described herein, the information contained in the Initial Form 8-K has not been updated or amended.
