Item 1.01 Entry into a Material Definitive Agreement.
     On January 25, 2010, Newfield Exploration Company (the “Company”) completed the public offering of $700,000,000 aggregate principal amount of the Company’s 6 7/8% Notes due 2020 (the “Notes”). The Notes were issued under the Indenture, dated as of December 10, 2001 (the “Indenture”), between the Company and U.S. Bank National Association (as successor to Wachovia Bank, National Association, formerly First Union National Bank), as trustee, as supplemented by the Fifth Supplemental Indenture, dated as of January 25, 2010 (the “Fifth Supplemental Indenture”), among the Company and U.S. Bank National Association, as trustee. The Indenture was filed with the Securities and Exchange Commission (the “Commission”) on December 13, 2001 as Exhibit 4.5 to the Company’s Form S-3. A copy of the Fifth Supplemental Indenture is filed herewith as Exhibit 4.1 and incorporated by reference herein. The form of the Notes issued pursuant to the Fifth Supplemental Indenture is filed herewith as Exhibit 4.2, and the terms and conditions thereof are incorporated by reference herein.
     The Notes have been issued pursuant to the Company’s automatic shelf registration statement on Form S-3 (Registration No. 333-150622), filed with the Commission on May 2, 2008. The material terms of the Notes are described in the prospectus supplement, dated January 20, 2010, as filed by the Company with the Commission on January 21, 2010, pursuant to Rule 424(b) under the Securities Act of 1933, which relates to the offer and sale of the Notes and supplements the prospectus dated May 2, 2008.
