Stockholder Meeting Notice
NaviSite, Inc.’s Annual Meeting of Stockholders will be held on December 15, 2009 at Marriott Boston Cambridge Hotel at Two Cambridge Center, 50 Broadway, Cambridge, MA 02142, at 9:00 a.m. Eastern Time.
Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.
The Board of Directors recommends that you vote FOR the following proposals:
  1.   Election of Directors: 01 - Andrew Ruhan, 02 - Arthur P. Becker, 03 - James Dennedy, 04 - Larry Schwartz, and 05 - Thomas R. Evans.
 
  2.   Amendment of Amended and Restated 1999 Employee Stock Purchase Plan (the “ESPP”) to increase the number of shares of common stock authorized for issuance pursuant to the ESPP by 600,000 shares.
