(b)            On September 29, 2006, the registrant announced that Marlin L. Mosby III, Executive Vice President and Chief Financial Officer (principal financial officer) of the registrant, is expected to change his position within the company and, as a result, will cease to be the principal financial officer of the registrant. On September 28, 2006, Mr. Mosby agreed to continue to serve as the registrant’s principal financial officer until year-end financial filings have been completed and a successor is named to that position and takes office; Mr. Mosby’s continuation in office has been agreed to by the registrant and approved by its Board of Directors.
