ITEM 7.01. REGULATION FD DISCLOSURE
On September 9, 2004, Oneida Ltd. issued a press release announcing
its financial results for the fiscal quarter ended July 31, 2004. A
copy of the press release is attached hereto as Exhibit 99.1 and is
incorporated herein by reference.
