Item 8.01 Other Events
On May 28, 2014, Hamilton Bancorp, Inc. (the “Company”) announced that its Board of Directors has adopted a stock repurchase program. Under the stock repurchase program, the Company may repurchase up to 179,755 shares of its common stock, or approximately 5% of the current outstanding shares. The Company also announced that its Annual Meeting of Stockholders will be held on August 19, 2014. A copy of the Company’s press release announcing the stock repurchase program and the date of the Annual Meeting of Stockholders is attached as Exhibit 99.1 to this report.
