ITEM 7.01 REGULATION FD DISCLOSURE.

On July 20, 2005, Berkshire Hills Bancorp, Inc. (the "Company"), the
holding company for Berkshire Bank, announced that it has changed the date and
time it will issue its earnings release for the quarter ending June 30, 2005, to
July 27, 2005 at approximately 9:00 a.m Eastern Time. The Company also changed
its post-earnings conference call to 3:00 p.m. Eastern Time on July 27, 2005 to
discuss the results for the quarter ended June 30, 2005. Instructions on how to
access the call are contained in the press release, a copy of which is attached
as Exhibit 99.1 and incorporated herein by reference.
