ITEM 7.01 REGULATION FD DISCLOSURE.

On April 1, 2005, Berkshire Hills Bancorp, Inc. (the "Company"), the
holding company for Berkshire Bank, announced it expected to issue its first
quarter earnings release on April 28, 2005. The Company will conduct a
conference call at 2:00 p.m. Eastern Time on April 28, 2005 to discuss the
results for the quarter ended March 31, 2005. Instructions on how to access the
call are contained in the press release, a copy of which is attached as Exhibit
99.1 and incorporated herein by reference.
