Item 1.  Description of Registrant’s Securities to be Registered.
 
This Registration Statement relates to the registration of the American Depositary Shares (the “ADSs”) of Teva Pharmaceutical Industries Limited (the “Registrant”), pursuant to Section 12(b) of the Securities Exchange Act of 1934, as amended, in connection with the listing of the ADSs on the New York Stock Exchange, Inc.  The ADSs were previously registered pursuant to Section 12(b) of the Exchange Act by the registration statement on Form 8-A initially filed with the Securities and Exchange Commission on August 31, 1987 (File No. 000-16174).  A description of the ADSs is contained under the heading “Item 12D: Description of Teva American Depositary Shares” in the Registrant’s Annual Report on Form 20-F for the year ended December 31, 2011, and is incorporated herein by reference.
