     On January 29, 2004, Ventas, Inc. (the "Company") announced that it has
agreed to acquire 14 independent living and assisted living facilities for $115
million. Chicago-based Brookdale Living Communities, Inc. affiliates have agreed
to lease and operate the properties for 15 years.

     A copy of the press release issued by the Company on January 29, 2004 is
included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated
in this Item 9 by reference.

     The information of this Item 9 to this Current Report on Form 8-K,
