     On November 5, 2003, Ventas, Inc. (the "Company") announced that it had
reached an agreement to sell ten of its facilities to its primary tenant Kindred
Healthcare, Inc. ("Kindred"), which currently leases and operates those
facilities.

     A copy of the press release issued by the Company on November 5, 2003 is
included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated
in this Item 9 by reference.

     The information of this Item 9 to this Current Report on Form 8-K,
including the exhibit, is furnished pursuant to Item 9 and shall not be deemed
to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934,
