ITEM 1.01 Entry into a Material Definitive Agreement.
On December 13, 2007, American Woodmark Corporation (the Company) entered into an Amended and Restated Credit Agreement between the Company and Bank of America, N.A. The $50 million five-year unsecured credit facility provides for a $40 million revolving line of credit and a $10 million term loan. The Credit Agreement will expire on December 13, 2012. Borrowings under the credit facility bear interest at the London InterBank Offered Rate (LIBOR) plus a spread ranging from 0.50% to 1.25% based on the Companys consolidated leverage ratio. The Credit Agreement includes customary representations, warranties, covenants and events of default. The Amended and Restated Credit Agreement replaces the Company's previous $45 million Financing Agreement with Bank of America, N.A. dated May 31, 2001.
