Item 8.01 Other Events

On August 27, 2007, Sierra Health Services, Inc. (the “Company”) (NYSE: SIE) and UnitedHealth Group (NYSE:UNH) jointly announced that they have received an Order granting approval of their merger from the Commissioner of Nevada’s Division of Insurance.
 
Completion of the merger remains subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act by the U.S. Department of Justice and the approval of the California Department of Insurance as well as other closing conditions and is expected to be completed by the end of 2007.
