OTHER EVENTS On September 8, 2005, the company announced its intention to offer approximately $450 million of senior notes and to use the proceeds to tender for or otherwise acquire all $400 million of its 8 1/8% senior notes due June 2006. On September 7, 2005, the company and its lenders entered into an amendment to the company's $500 million credit agreement modifying the financial covenants primarily to provide the necessary flexibility to effect these transactions.
