STOCK OPTIONS - QUESTIONS AND ANSWERS
BACKGROUND AND MERGER
As you are aware, on November 12, 2015, NI Bancshares Corporation (“Company”) entered into a merger agreement to be acquired by First Midwest Bancorp, Inc. (“First Midwest”). It is anticipated that this transaction will close in the first quarter of 2016. You are receiving this communication because you are a holder of outstanding stock options under one of the Company’s equity incentive plans (“Plan”).
As part of the transaction, Company stockholders will receive, subject to the terms and conditions of the merger agreement, 2.8858 shares of First Midwest common stock and $13.17 in cash for each share of Company common stock (“Merger Consideration”).
The merger agreement specifically addresses what will happen with respect to holders of stock options under the Plan.
TREATMENT OF STOCK OPTIONS
WHAT WILL HAPPEN TO MY STOCK OPTIONS?
Immediately prior to the closing, the Company will take steps necessary to cancel all outstanding stock options in consideration for a cash payment to the holders of such stock options, as described more fully below.
HOW MUCH WILL I BE PAID?
For each of your stock options that are cancelled pursuant to the merger agreement and for which the exercise price is less than the value of the Merger Consideration (considered “in the money” options), you will receive an amount equal to the value of the Merger Consideration at closing (using the average First Midwest stock price for the trading day immediately preceding the closing date of the merger), less the exercise price of such stock options (the “spread”). To determine the total cash payment that you will receive for each tranche of your stock options with the same exercise price, the spread for the applicable tranche will be multiplied by the number of your stock options in that tranche that are outstanding immediately prior to the closing and cancelled pursuant to the merger agreement. Your payment will be reduced for all applicable tax withholding required by law. There will not be a payment for the cancellation of any stock options for which the exercise price is equal to or greater than the value of the Merger Consideration (considered “underwater” options), valued as described above.
WHAT IF MY OPTIONS ARE UNVESTED?
You will receive a payment for all of your “in the money” stock options outstanding immediately prior to closing and cancelled, whether they are vested or unvested at that time.
WILL I NEED TO DO ANYTHING?
Yes. You will be asked to sign a stock option cancellation agreement in order to receive your payment





described above. The cancellation agreement will terminate all rights you have under your “in the money” and “underwater” options together in consideration of the payment discussed above. A copy of the cancellation agreement will be provided to you as we get closer to the closing.
WHAT WILL BE THE TAX TREATMENT TO ME?
The payment to you will be treated as wages and subject to all applicable tax withholding and reporting. This payment will be reflected on your Form W-2 for 2016.
WHEN WILL I GET PAID?
Payments will be made shortly after closing.
CAN I EXERCISE MY STOCK OPTIONS BEFORE THE MERGER?
Yes. Prior to the closing, you will continue to have the same rights under your stock option awards that you had regardless of the pending merger. If you exercise some, or all, of your stock options prior to the merger, then, with respect to any shares of common stock that you receive upon exercise of such stock options, you will be treated as a holder of common stock at the time of closing of the merger in the same manner as all other holders of Company common stock. Any remaining unexercised stock options will be cancelled immediately prior to closing in consideration of the cash payment discussed above. Tax withholding with respect to the exercise of any stock options prior to the merger shall be handled in the same manner that it has been done in the past.
