Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Effective April 26, 2007, the Board of Directors of Gerber Scientific, Inc. ("Company") approved an amendment to the Company's by-laws authorizing the Company to issue some or all of the shares of any or all of its classes or series without certificates. A copy of the Company's amended and restated by-laws has been furnished as Exhibit 3.2.
