Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 1, 2015, Enable Midstream Partners, LP (the “Partnership”) adopted new forms of agreement for performance unit awards and restricted unit awards under the Enable Midstream Partners, LP Long Term Incentive Plan. The newly approved form of agreement for performance unit awards provides that in the event of retirement, a participant will receive a prorated payment based on target performance, rather than actual performance, of the performance goals during the award cycle. The newly approved forms of award agreements also include changes to assist with electronic delivery of award agreements to recipients. The terms of the new forms of agreement are otherwise substantially the same as those of the Partnership’s previous forms of agreement for performance unit awards and restricted unit awards.

Forms of agreement for performance unit awards and restricted unit awards are attached hereto as Exhibits 10.1 and 10.2, respectively, and are incorporated by reference herein.
