Item 7.01. Regulation FD.
 
On January 16, 2019, Ascent Capital Group, Inc. (“Ascent” or the “Company”), the parent company of Monitronics International, Inc. (doing business as “Brinks Home Security”), issued a press release announcing that it has initiated a process to consider potential strategic alternatives, including an investment in the Company or its operating subsidiary Brinks Home Security by a third party and that Moelis & Company LLC has been retained as financial advisor to assist with this review. The Company has not set a definitive timetable for completing the review, and there can be no assurance that the process will result in a transaction. The Company does not intend to disclose developments or provide updates on the progress or status of this process unless and until further disclosure is appropriate or required. A copy of the press release is filed as Exhibit 99.1 hereto and incorporated by reference herein.
