** Intentional misstatements or omissions of facts constitute Federal Criminal Violations. See 18 U.S.C. 1001 and 15 U.S.C. 78ff(a).
(1) The option to buy 24,000 shares of Class A Common Stock was granted on December 23, 2004 (the "Grant Date") pursuant to the Security Capital Corporation 2000 Long-Term Incentive Plan.
(2) The option vests and becomes exercisable in three equal installments. Options to purchase 8,000 shares of Class A Common Stock vested and became exercisable on each of the Grant Date and December 23, 2005. The reporting person exercised these options to purchase 16,000 shares of Class A Common Stock on March 21, 2006. The vesting of options to purchase 8,000 shares of Class A Common Stock that originally were to vest on December 23, 2006 was accelerated, and such options became exercisable on May 31, 2006.
(3) The option terminates at the earliest of (a) the tenth anniversary of the Grant Date, (b) as to the unvested portion of the option, the date of the termination of the grantee's directorship and (c) as to the vested portion of the option, the 91st day following the termination of the grantee's directorship.
