Item 8.01 Other Events.

As previously reported by Woodward Governor Company (the "Company") on its Current Report on Form 8-K filed on June 7, 2010, Thomas A. Gendron, Chairman of the Board and Chief Executive Officer of the Company, entered into a Rule 10b5-1 trading plan (the "Plan") with a broker to exercise options to acquire up to a specified number of shares of Company common stock and to sell some of such stock (for the purpose of paying certain tax liabilities in connection with those exercises) or all of such stock in accordance with specified terms under the Plan. Mr. Gendron terminated the Plan in accordance with its terms on November 30, 2010, prior to its scheduled termination date of December 31, 2010.
