Item 7.01 Regulation FD Disclosure.

On January 7, 2008, ITC Holdings Corp. (the "Company") issued a press release confirming its prior guidance with respect to the Company’s diluted earnings per share, updating capital expenditures for its operating subsidiaries for 2007 and providing initial guidance with respect to the Company’s diluted earnings per share and capital expenditures for its operating subsidiaries for 2008 and for future periods. The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
