Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 15, 2006, William E. Meyer tendered his resignation, effective as of May 26, 2006, from his positions as Chief Financial Officer and Secretary of BroadVision, Inc. (the "Company") in order to pursue other career opportunities. Dr. Pehong Chen, the Company’s Chairman, President and Chief Executive Officer, will assume the role of interim Chief Financial Officer until a replacement is announced.
