Item 7.01 Regulation FD Disclosure.

On October 13, 2005, SM&A, a California corporation, issued a press release announcing its financial results for the fiscal quarter ending September 30, 2005.

In addition, SM&A announced the Board of Directors authorized an increase in the share repurchase program from $12 million to $20 million.
