Item 8.01

Other Events.

On October 28, 2018, Red Hat, Inc., a Delaware corporation (the “Company”), and International Business Machines Corporation, a New York corporation (“Parent”), issued a joint press release announcing that on October 28, 2018, the Company entered into an Agreement and Plan of Merger with Parent. A copy of the joint press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.

In connection with the proposed merger, the Company intends to file relevant materials with the Securities and Exchange Commission (the “SEC”), including a preliminary proxy statement on Schedule 14A.
