INTRODUCTORY STATEMENT
This Tender Offer Statement on Schedule TO (Schedule TO) is filed by Hologic, Inc., a Delaware corporation (the Company), with respect to the right of each holder (each a Holder) of the Companys 2.00% Convertible Exchange Senior Notes due 2037 issued November 23, 2010 (the Notes) to require the Company to repurchase the Notes upon the terms and subject to the conditions set forth in the Indenture (as defined below), the Notes, and the Companys Put Right Notice to Holders of 2.00% Convertible Exchange Senior Notes due 2037, dated November 9, 2016, filed as an exhibit to this Schedule TO (the Put Right Notice). The right of a Holder to require the Company to repurchase the Notes, as described in the Put Right Notice, as amended or supplemented from time to time, is referred to as the Put Option.
The Notes were issued under an Indenture, dated as of December 10, 2007 (the Base Indenture), by and between the Company, as issuer, and Wilmington Trust Company, as trustee (the Trustee), as supplemented by the Second Supplemental Indenture, dated as of November 23, 2010 (the Supplemental Indenture and together with the Base Indenture, the Indenture), by and between the Company and the Trustee.
This Schedule TO is intended to satisfy the disclosure requirements of Rule 13e-4(c)(2) and 13e-4(d)(1) under the Securities Exchange Act of 1934, as amended.
Items 1 through 9.
The Company is the issuer of the Notes and is obligated to repurchase all of the Notes if validly surrendered by the Holders under the terms and subject to the conditions set forth in the Indenture, the Notes, and the Put Right Notice. Under certain circumstances, the Notes are convertible into shares of common stock, par value $0.01 per share, of the Company, subject to the terms, conditions and adjustments specified in the Indenture, the Notes, and the Put Right Notice. Under the terms of the Indenture, the Company has the option to settle the conversion of the Notes in shares of the Companys Common Stock, cash, or a combination of cash and shares of the Companys Common Stock. The Company maintains its registered and principal executive offices at 250 Campus Drive, Marlborough, Massachusetts, 01752 and the telephone number there is (508) 263-2900. As permitted by General Instruction F to Schedule TO, all of the information set forth in the Put Right Notice is incorporated by reference into this Schedule TO.
Item 10. Financial Statements.
Pursuant to Instruction 2 to Item 10 of Schedule TO, the Companys financial condition is not material to a Holders decision whether to put the Notes to the Company because (i) the consideration being offered to Holders surrendering Notes consists solely of cash, (ii) the Put Option is not subject to any financing conditions, (iii) the Put Option applies to all outstanding Notes and (iv) the Company is a public reporting company under Section 13(a) of the Securities Exchange Act of 1934, as amended, that files reports electronically on EDGAR. The financial condition and results of operations of the Company and its subsidiaries are reported electronically on EDGAR on a consolidated basis.
