On September 30, 2016, Delcath Systems, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Roth Capital Partners, LLC, as Underwriter (the Underwriter). The Underwriting Agreement provides for the sale to the Underwriter of 425,000 shares of the Companys common stock, par value $0.01 per share (the Common Stock), and warrants to purchase 148,750 shares of the Companys common stock (such warrants, the Warrants; such sale, the Offering). Each share of common stock is being sold together with 0.35 of a warrant to purchase a share of common stock. The Common Stock and Warrants were offered and sold under a prospectus supplement filed with the Securities and Exchange Commission pursuant to Rule 424(b) of the Securities Act of 1933, as amended, (the Securities Act) in connection with an offering pursuant to the Companys shelf registration statement on Form S-3 (File No. 333-207331). The Offering is expected to close on October 5, 2016.
