EXPLANATORY NOTE
This Registration Statement on Form S-8 of Apogee Enterprises, Inc. (the Company) is being filed pursuant to General Instruction E to Form S-8 under the Securities Act of 1933, as amended, to register an additional 250,000 shares of the Companys common stock (Common Stock), par value $0.33 1/3 per share, issuable pursuant to the Apogee Enterprises, Inc. Employee Stock Purchase Plan, as amended (the Plan). The issuance of the additional shares was approved by the Board of Directors (the Board) of the Company at a meeting of the Board on October 7, 2015. The remaining shares of Common Stock issuable under the Plan have been previously registered pursuant to a Registration Statement on Form S-8 (Registration No. 333-107403), which is hereby incorporated by reference.
