NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Multi-Color Corporation is unable to file, without unreasonable effort or expense, its Annual Report on Form 11-K with respect to its 401(k) Savings Plan (the “Plan”) for the year ended December 31, 2013 (the “Form 11-K”). The Plan has experienced delays in receiving information from outside parties, and additional time is needed to compile and analyze this supporting documentation in order to permit the Plan’s independent registered public accounting firm to complete its audit of the Plan’s financial statements included in the Form 11-K. The Plan intends to file the Form 11-K by July 15, 2014 and within the fifteen-day extension provided by Rule 12b-25.
