Item 1.01 Entry into a Material Definitive Agreement

On February 3, 2012, Bryn Mawr Bank Corporation (the “Corporation”), parent of The Bryn Mawr Trust Company (the “Bank”), entered into a definitive stock purchase agreement (the “Agreement”) to acquire Davidson Trust Company (“DTC”) from Boston Private Financial Holdings, Inc. and members of DTC’s management group (collectively, the “Seller Parties”) for a total purchase price of up to $10.5 million, of which $7.35 million is to be paid at closing in cash and up to $3.15 million is to be paid in cash installments on the 6-, 12- and 18-month anniversaries of the date of closing, subject to certain post-closing contingencies relating to DTC’s assets under management.

Pursuant to the Agreement, all issued and outstanding shares of common stock of DTC will, upon closing, be acquired by the Corporation, and immediately after closing, DTC will be merged with and into the Corporation’s wholly-owned subsidiary, the Bank.

The Agreement contains (a) customary representations and warranties of DTC, the Seller Parties and of the Corporation, including, among others, representations and warranties related to corporate organization, capitalization, corporate authority, third party and governmental consents and approvals, financial statements and information, and compliance with applicable laws; (b) covenants of DTC and the Seller Parties to, among other things, (i) conduct the business of DTC in the ordinary course until the transaction is completed, (ii) remain solely responsible for any severance, retention, or other obligations related to the termination of any DTC employee at or prior to the closing, (iii) not solicit DTC employees or clients, and to keep confidential certain proprietary information relating to DTC and its business, and (iv) not solicit proposals relating to alternative business combination transactions or, subject to certain exceptions, enter into discussions concerning, or provide confidential information in connection with, any proposals for alternative business combination transactions; (c) covenants of the Corporation to, among other things, use commercially reasonable efforts to preserve intact the business, client relationships and goodwill of DTC until the 18-month anniversary of the closing date.

Consummation of the transaction is subject to certain conditions, including, among others, the filing of certain governmental applications and notices, receipt of applicable regulatory approvals and expiration of applicable waiting periods, accuracy of specified representations and warranties of each party, and absence of a material adverse change.

The Agreement also contains certain termination rights for the Seller Parties and the Corporation, as the case may be, applicable upon the occurrence or non-occurrence of certain events, including: final, non-appealable denial of required regulatory approvals or injunction prohibiting the transactions contemplated by the Agreement; if, subject to certain conditions, the transaction has not been completed by August 3, 2012; a breach by the other party that is not or cannot be cured within 30 days, or inability of a party to satisfy any of the conditions to closing set forth in the Agreement. Additionally, the Corporation may terminate the Agreement in the event that, subject to certain conditions, the DTC’s assets under management drop below 60% of the assets under management prior to the signing of the Agreement.

The representations and warranties of each party set forth in the Agreement have been made solely for the benefit of the other parties to the Agreement. In addition, such representations and warranties (a) are subject to materiality qualifications contained in the Agreement which may differ from what may be viewed as material by investors, (b) were made only as of the date of the Agreement or such other date as is specified in the


Agreement, and (c) may have been included in the Agreement for the purpose of allocating risk between the Seller Parties and the Corporation rather than establishing matters as facts. Accordingly, the Agreement is included with this filing only to provide investors with information regarding the terms of the Agreement, and not to provide investors with any other factual information regarding the parties or their respective businesses.
