Item 1.01. Entry into a Material Definitive Agreement.
On January 6, 2011, Amarin Corporation plc (the Company, we, us and our) entered into an Underwriting Agreement (the Underwriting Agreement) with Jefferies & Company, Inc. and Leerink Swann LLC acting as joint book-running managers and as representatives of the several underwriters named therein (the Underwriters), relating to the issuance and sale of 12,000,000 American Depositary Shares (ADSs), with each ADS representing one of the Companys ordinary shares, par value £0.50 per share. The price to the public in this offering is $7.60 per ADS, and the underwriters have agreed to purchase the ADSs from us pursuant to the Underwriting Agreement at a price of $7.296 per ADS. The net proceeds to us from this offering are expected to be approximately $87.1 million, after deducting underwriting discounts and commissions and other estimated offering expenses. The offering is expected to close on or about January 11, 2011, subject to customary closing conditions. In addition, under the terms of the Underwriting Agreement, we have granted the Underwriters an option, exercisable for 30 days, to purchase up to an additional 1,800,000 ADSs solely to cover over-allotments, if any.
The offering is being made pursuant to our effective registration statement on Form F-3 (Registration Statement No. 333-170505) previously filed with the Securities and Exchange Commission and a prospectus supplement thereunder. In the Underwriting Agreement, the Company agrees to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended, or to contribute to payments that the Underwriters may be required to make because of such liabilities. The Underwriting Agreement is filed as Exhibit 1.1 to this report, and the description of the terms of the Underwriting Agreement is qualified in its entirety by reference to such exhibit. A copy of the opinion of K&L Gates LLP relating to the legality of the issuance and sale of the ADSs in the offering is attached as Exhibit 5.1 hereto.
On January 5, 2011, we issued a press release announcing that we had commenced the offering. On January 6, 2011, we issued a press release announcing that we had priced the offering. The press releases are attached as Exhibits 99.1 and 99.2 hereto, respectively.
