As previously reported on March 27, 2009, Flotek Industries, Inc. (the “Company”) was notified by the New York Stock Exchange (the “NYSE”) that it had fallen below the NYSE’s continued listing criterion that requires 30 day average market capitalization of not less than $75 million and total stockholders’ equity of not less than $75 million. By letter dated June 1, 2009, the NYSE notified the Company that it has adopted a pilot program that changes the numeric thresholds described above to $50 million. As a result, the Company is now deemed to be in compliance with the NYSE continued listing requirement. A copy of the press release announcing the Company’s compliance with the modified NYSE continued listing requirements is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
