Item 8.01 Other Events.

 

On November 9, 2004, Prudential Financial, Inc., a New Jersey corporation (the “Company”), issued a news release announcing the offering of $2.0 billion aggregate initial principal amount of convertible senior notes due 2035 pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The Company has granted the initial purchasers of the convertible notes an overallotment option to purchase up to an additional $300 million aggregate initial principal amount of the convertible notes.
