Item 8.01. Other Events.

 

On June 16, 2005, Sunoco, Inc. issued a press release announcing that it will implement environmental improvement projects at its Philadelphia, PA, Marcus Hook, PA, Toledo, OH and Tulsa, OK refineries as part of a recent settlement with the U.S. Environmental Protection Agency (EPA) under the Clean Air Act, which was announced by EPA on June 16, 2005. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
