ITEM 8.01 OTHER EVENTS
On October 26, 2004, American Community Bancshares, Inc. (the Registrant) announced that it had filed an application with the Federal Deposit Insurance Corporation and the Office of the North Carolina Commissioner of Banks to open a ninth branch of its North Carolina state bank subsidiary, American Community Bank. Upon receipt of all required approvals, the new office will be located at 2140 South Boulevard, Charlotte, North Carolina and will be a full service banking office known as the South End Branch. The Registrant also recently announced that it had filed an application with the Office of the Comptroller Currency to establish a full service banking office in the Tega Cay area of York County, South Carolina for its South Carolina national bank subsidiary, First National Bank of the Carolinas. A copy of the press release (the Press Release) announcing the filing of the Registrants applications is attached hereto as Exhibit 99.1 and incorporated by reference herein.
