Item 8.01.    Other Events
 
Innospec Inc. announced by a press release dated August 14, 2007 that its Board of Directors had declared a semi-annual dividend of $0.045 (four and a half cents) per share of common stock. The cash dividend will be payable on October 8, 2007 to holders of record of the Corporation's common stock at close of business on September 4, 2007.

The Corporation also announced that its Board of Directors had authorized a Rule 10b5-1 stock repurchase plan to facilitate repurchases of its stock up to a value of $6.5 million.
