Oxford Lane Capital Corp. Completes Preferred Stock Offering
Greenwich, CT -- 11/18/2013 – Oxford Lane Capital Corp. (the “Company”) (NasdaqGS: OXLC, OXLCP and OXLCO) today announced that it has completed an underwritten public offering of 1,767,770 shares of its 7.50% Series 2023 Term Preferred Stock (the “Preferred Stock”), including 142,770 shares of Preferred Stock that were issued pursuant to a partial exercise of the option granted to the underwriters to purchase up to 243,750 additional shares, at a public offering price of $22.50 per share, raising approximately $39.8 million in gross proceeds.
Ladenburg Thalmann & Co. Inc., a subsidiary of Ladenburg Thalmann Financial Services Inc. (NYSE MKT: LTS), Barclays Capital Inc., and Deutsche Bank Securities Inc. acted as the joint bookrunning managers for the offering. Credit Suisse Securities (USA) LLC, BB&T Capital Markets, a division of BB&T Securities, LLC, BTIG, LLC, C&Co/PrinceRidge LLC, Maxim Group LLC, MLV & Co. LLC and National Securities Corporation, a wholly owned subsidiary of National Holdings, Inc. (OTCBB:NHLD), acted as co-managers for the offering.
The Company plans to use the net proceeds of this offering for acquiring investments and for general working capital purposes, which may include the payment of operating expenses, including advisory and administrative fees and expenses.
