Item 7.01           Regulation FD Disclosure

On August 25, 2010, Neuralstem, Inc. (“Company”) announcing it had filed an Investigational New Drug (“IND”) application with the United States Food and Drug Administration (“FDA”) to begin a Phase I clinical trial for chronic spinal cord injury.  A copy of the press release is attached to this report as Exhibit 99.1.
