Item 8.01 Other Events

On August 2, 2010, Brainstorm Cell Therapeutics Inc. (the “Company”) announced that it intends to pursue a listing of Brainstorm Cell Therapeutics Ltd.’s securities on the Tel Aviv Stock Exchange.  Brainstorm Cell Therapeutics Ltd. is a wholly-owned subsidiary of the Company. This Current Report on Form 8-K and the information disclosed herein is being filed pursuant to Rule 135c.

The securities of Brainstorm Cell Therapeutics Ltd. have not been registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
