Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) The Board of Directors of Farmers & Merchants Bancorp regrets to announce that one of its Directors, Robert F. Hunnell, passed away on Thursday, July 19, 2007.

Mr. Hunnell, a retired pharmacist, was a resident of Lodi, serving as Mayor from 1968 to 1969.  He was elected a director of Farmers & Merchants Bancorp in 1970 and recently served as a member of the Audit Committee and Co-Chairman of the Loan Committee.
