ITEM 5. OTHER EVENTS
EasyLink Services Corporation ("EasyLink") announced that Jack Kuehler,
a member of the Board of Directors of EasyLink, will resign as a director of
EasyLink for personal reasons. The resignation will be effective September 30,
2002.
