Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.
On January 26, 2016, Robert J. Munch was selected by the Board of Directors (the “Board”) of NuStar GP, LLC (the “Company”), the general partner of the general partner of NuStar Energy L.P. (the “Partnership”), to serve as a member of the Board of the Company, pursuant to the recommendation of the Nominating/Governance & Conflicts Committee. There are no arrangements between Mr. Munch and any other person pursuant to which Mr. Munch was selected as a director. Mr. Munch has not been appointed to serve on any committee of the Board at this time; however, he is expected to be appointed to serve on the Audit Committee, the Compensation Committee and the Nominating/Governance & Conflicts Committee of the Board during 2016.
Mr. Munch, 64, served as General Manager and Head of Corporate & Investment Banking of Mizuho Bank, Ltd. from 2006 to 2013 and as Deputy General Manager, Origination, of Mizuho Bank, Ltd. from 2005 to 2006. Prior to his service with Mizuho Bank Ltd., Mr. Munch also served in several senior management positions with Canadian Imperial Bank of Commerce and CIBC World Markets from 1980 to 2001 and Fidelity Union Bancorporation (now Wells Fargo) from 1973 to 1980.
As a non-employee director, Mr. Munch will receive the Company’s standard non-employee director compensation, as more fully described in the Partnership’s Annual Report on Form 10-K for the year ended December 31, 2014. Mr. Munch is not a party to any transaction that would require disclosure under Item 404(a) of Regulation S-K.
