EXPLANATORY NOTE

 

This Amendment to Current Report on Form 8-K/A is being filed to correct Exhibit 99.1 to the Current Report on Form 8-K filed on May 4, 2011, relating to Items 2.02 and 9.01 referred to therein (the “Original Form 8-K”), which is incorporated by reference into Item 2.02 below.  Exhibit 99.1 is being re-filed to correct a typographical error contained in the footnote on page 4, changing the freight rate from $28 per ton to the corrected $25 per ton.  The text of Item 2.02 below is not amended or changed from that contained in the Original Form 8-K and Exhibit 99.1 is not otherwise amended or changed from that contained in the Original Form 8-K.

On May 4, 2011, Intrepid Potash, Inc. issued a press release announcing its financial results for the quarter ended March 31, 2011.  A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
