ITEM 8.01.  OTHER EVENTS.

 

On September 17, 2010, pursuant to our equity compensation plan, our Compensation Committee voted to grant an aggregate of 66,850 common shares of beneficial interest, par value $0.01 per share, to our officers and certain employees of our manager, Reit Management & Research LLC, valued at $24.31 per common share, the closing price of our common shares on the New York Stock Exchange on that day.  These grants were made pursuant to an exemption from registration contained in Section 4(2) of the Securities Act of 1933, as amended.
