(1) This registration statement (this Registration Statement) is being filed with the Securities and Exchange Commission (the Commission) to register 2,000,000 shares of Class A Common Stock which may be issued under the Registrants 2003 Incentive Compensation Plan, as amended and restated (as the same may be further amended from time to time, the 2003 Incentive Compensation Plan).
