Item 5.03.        Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On February 21, 2008, Senior Housing Properties Trust, or the Company, filed Articles of Amendment to its Declaration of Trust increasing the number of the Company’s authorized shares of beneficial interest from 95,000,000 to 100,000,000.  The Company’s authorized shares are currently classified as follows: (i) 99,700,000 common shares, $0.01 par value per share; and (ii) 300,000 junior participating preferred shares, $0.01 par value per share.

 

The Articles of Amendment were effective upon filing.

 

Item 8.01         Other Events.

 

On February 21, 2008, the Company priced an underwritten public offering of 5,600,000 common shares of beneficial interest.  The Company expects to issue and deliver these shares on or about February 26, 2008.  The public offering price was $21.85 per share.  The Company expects to use the $116.6 million of net proceeds of the offering (after estimated expenses and underwriters’ commissions) for the repayment of borrowings outstanding under the Company’s revolving bank credit facility and for general business purposes, including funding pending or possible future acquisitions of properties.  The Company also granted the underwriters an option to purchase an additional 840,000 common shares to cover over-allotments, if any.
