Item 1.01                                             Entry into a Material Definitive Agreement

 

On May 24, 2006, the Board of Directors (the “Board”) of Fossil, Inc. (the “Company”) approved the Sixth Amendment (the “Sixth Amendment”) to the 2004 Long-Term Incentive Plan of Fossil, Inc. (the “Plan”), to be effective as of February 17, 2006. The Sixth Amendment: (i) provides for a notification procedure for awards under the Plan and (ii) adds to the Plan a definition of a “Change in Control” of the Company.

 

The Sixth Amendment is included as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference herein.
