Item 7.01 and 8.01:

On February 17, 2006, Fulton Financial Corporation released the final proration results relating to the merger consideration to be paid to Columbia Bancorp stockholders in connection with Fulton’s recently completed acquisition of that company.   The final results are set forth in a press release, attached hereto as Exhibit 99.1 and incorporated herein by reference.
